Terms and conditions
These Terms and Conditions (“Terms”) govern your access to and use of the mobile application and website (collectively, the “Platform”) and related services (the “Services”) provided by Mal Digital Ltd, a private company limited by shares formed in the Abu Dhabi Global Market under company registration number 25182 (“Mal”).
1. ACCEPTANCE OF TERMS
These Terms and Conditions (“Terms”) govern your access to and use of the mobile application and website (collectively, the “Platform”) and related services (the “Services”) provided by Mal Digital Ltd, a private company limited by shares formed in the Abu Dhabi Global Market under company registration number 25182 (“Mal”).
2. DEFINITIONS
Account: The user account created by you on the Platform to access and utilize the Services.
ADGM: Abu Dhabi Global Market.
Applicable Laws: All laws, regulations, decrees, and rules of the UAE, the Emirate of Abu Dhabi, and ADGM that are applicable to the Services or to Mal.
Content: All information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials available on the Platform.
Services: The financial technology services, functionalities, and features provided through the Platform, as described in Section 4.
User/You: Any person who accesses or uses the Platform or Services.
3. ELIGIBILITY AND ACCOUNT REGISTRATION
3.1 Eligibility
You must be at least 18 years old and have the full legal capacity to enter into this agreement under the Applicable Laws of the UAE. By registering, you confirm that all information provided is accurate, complete, and true.
3.2 Account Security
You are responsible for maintaining the confidentiality of your Account credentials (username and password/PIN) and for all activities that occur under your Account. You must immediately notify us of any unauthorized use or security breach.
3.3 Identity Verification (KYC/AML)
You agree to provide all necessary documentation and information required by us to comply with applicable Know Your Customer (KYC) and Anti-Money Laundering (AML) regulations in ADGM and the UAE. Your Account access may be restricted or suspended if you fail to comply with verification requests.
4. THE SERVICES
4.1 Service Description
The Platform provides the User with access to the following financial technology services:
Tools for budgeting and expense tracking
Access to third-party financial product comparisons
Personal travel concierge services
4.2 Prohibited Use
You agree not to use the Platform or Services for any purpose that is unlawful, fraudulent, harmful, or prohibited by these Terms or Applicable Laws, including but not limited to:
a. Money laundering or financing of terrorism.
b. Breach of sanctions imposed by the UN, US, EU, UAE, or ADGM.
c. Any form of market manipulation, illegal gambling, or financial crime.
5. FEES AND PAYMENTS
Use of the Services may be subject to fees. Details of all applicable fees (including subscription fees, transaction fees, and charges) will be clearly displayed on the Platform or on a dedicated Fee Schedule. You agree to pay all charges incurred under your Account and you expressly authorize Mal to charge your designated payment method (bank account, credit card or Platform balance, in each case as applicable).
6. INTELLECTUAL PROPERTY
6.1 Company Property
All content, visual interfaces, graphics, design, compilation, information, computer code, products, software, and all other elements of the Platform and Services are the sole property of Mal or its licensors. All rights are reserved.
6.2 License Grant
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform solely for your personal, non-commercial use, subject to these Terms.
7. Data protection and privacy
7.1 Data Processing
We process your personal data in accordance with our Privacy Policy and in compliance with the relevant ADGM Data Protection Regulations and UAE data privacy laws.
7.2 Consent
By using the Platform, you consent to the collection, use, and disclosure of your personal information as described in our Privacy Policy. You acknowledge that certain data may be shared with regulatory bodies or third-party service providers as necessary for the provision of the Services and compliance with Applicable Laws.
7. DATA PROTECTION AND PRIVACY
7.1 Data Processing
We process your personal data in accordance with our Privacy Policy and in compliance with the relevant ADGM Data Protection Regulations and UAE data privacy laws.
7.2 Consent
By using the Platform, you consent to the collection, use, and disclosure of your personal information as described in our Privacy Policy. You acknowledge that certain data may be shared with regulatory bodies or third-party service providers as necessary for the provision of the Services and compliance with Applicable Laws.
8. WARRANTIES AND DISCLAIMER
8.1 “AS IS” Basis
The Platform and the Services are provided on an “AS IS” and “AS AVAILABLE” basis, without any express or implied warranties of any kind. To the fullest extent permitted by Applicable Laws, we disclaim all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the App will be available at all times, be uninterrupted, error-free, secure, or free of viruses or other harmful components. We are not liable for any losses or damages caused by temporary technical failures, maintenance, power outages, denial-of-service attacks, or other interruptions beyond our reasonable control. Users are responsible for maintaining the security of their device, login credentials, and for all activities that occur under their account.
8.2 No Financial Advice
The content and information provided through the Platform, including any data, tools, calculators, simulations, or market analysis, are for informational and educational purposes only. They do not constitute, and should not be construed as, financial, investment, legal, tax, or professional advice. Mal is not acting as a financial advisor or fiduciary and does not hold a license to provide any such services. Users must rely on their own examination of the transaction, including the merits and risks involved. You should consult with an independent financial professional, legal, and tax advisor before making any financial decisions.
9. LIMITATION OF LIABILITY; THIRD PARTY SERVICES
To the fullest extent permitted by Applicable Laws, in no event shall Mal, its affiliates, directors, employees, or agents be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including, without limitation, damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Platform or Services. Our maximum liability to you for any and all claims related to these Terms or the Services shall not exceed the greater of: (i) the fees paid by you to us for the specific Service giving rise to the claim in the 12 months preceding the claim (which, for the avoidance of doubt, will be the actual fees charged by Mal and not the amount of any purchase you make through the Platform) or, or (ii) AED 100. In the event Applicable Laws provide for a greater maximum liability, such amount shall apply. You acknowledge that Mal offers through the Platform, for purchase by you, products and services offered by third parties which such third parties are obligated to perform/deliver and which are subject to such third party’s separate terms and conditions. The Services may display data, information, or content from third parties (including, but not limited to, credit rating agencies and financial news providers). We do not guarantee the accuracy, completeness, or reliability of any third-party data. We are not responsible for the content, privacy practices, or security of any linked third-party websites or services. Any reliance you place on such information is strictly at your own risk. Any purchase made by you through the Platform shall be subject to applicable third party terms and conditions including, without limitation, the terms with respect to rescheduling, cancellation and refunds, applicable to such purchased products or services by such third party. Mal shall not be liable for any failure whatsoever of any third party to deliver or otherwise perform or deliver such product or service.
10. TERMINATION AND SUSPENSION
10.1 Termination by You
You may terminate your Account at any time by following the procedures on the Platform or by providing us with written notice.
10.2 Suspension and Termination by Us
We may, in our sole discretion, suspend or terminate your Account or access to the Services, immediately and without prior notice, if:
a. We suspect any fraudulent, suspicious, or unauthorized activity on your Account.
b. You violate any provision of these Terms or Applicable Laws.
c. We are required to do so by a regulatory authority, court order, or governmental body.
11. GOVERNING LAW AND DISPUTE RESOLUTION
11.1 Governing Law
These Terms, and any non-contractual obligations arising out of or in connection with them, shall be governed by and construed in accordance with the laws of the ADGM.
11.2 Dispute Resolution
Any dispute, controversy, difference, or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, interpretation, performance, breach, or termination, shall be referred to and finally resolved by the courts of the ADGM. You agree to submit to the exclusive jurisdiction of the ADGM Courts.
12. GENERAL PROVISIONS
12.1 Amendments
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform or by other reasonable means. Your continued use of the Platform after the effective date of the amendments constitutes your acceptance of the new Terms.
12.2 Severability
If any provision of these Terms is found to be unenforceable or invalid by any court having competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
